This Policy states the binding refund, cancellation, renewal, delivery, and dispute terms for each covered transaction. It becomes part of an Accepted Order when the Order links to it, incorporates it, or presents it for acceptance. HIRECAR applies the version presented when the Accepted Order is formed. No provision removes a right that California law does not permit the parties to waive.

1 Purpose and scope

This Policy applies only to the automotive technology Memberships and Implementation Services identified in an Accepted Order made directly with HIRECAR. Covered work may include connected-system or IoT configuration, software integrations, workflow automation, data organization or migration, operational dashboards, testing, deployment, documentation, and implementation support.

Only the items written in the Accepted Order are included. A service, feature, result, schedule, warranty, or remedy is not included merely because it appeared in an example, preliminary discussion, demonstration, or general description. A separately signed agreement controls an item expressly governed by that agreement.

2 Binding effect and transaction disclosures

Before HIRECAR accepts payment for an online or remote order, the transaction materials will identify HIRECAR's legal name and business address, the service or goods offered, the total price or method used to determine it, the expected delivery or activation timing, this return and refund policy, any material outside-provider restriction, and any Automatic Renewal terms. This disclosure practice implements California Business and Professions Code section 17538 where that section applies.

The Accepted Order and this Policy are the parties' agreement on cancellation and refunds unless a signed writing gives the Customer a more favorable right. Oral statements do not change them. A representative may not promise a different result unless HIRECAR records that change in a signed or electronically accepted amendment.

3 Definitions

Accepted Order means the checkout record, invoice, quote, statement of work, addendum, or other purchase record accepted by HIRECAR and the Customer that identifies the purchased items and incorporates this Policy.

Activation means the earliest documented time HIRECAR schedules or begins onboarding, creates or configures a workspace, receives access for implementation, commits an authorized Third Party Cost, or begins a Milestone or Deliverable.

Automatic Renewal means a Membership or continuous service that renews for another term unless the Customer cancels.

Business Day means Monday through Friday, excluding California state holidays.

Cancellation Request means a clear statement received through an accepted channel that the Customer wants to stop an Order, future work, or Automatic Renewal.

Customer means the individual or organization identified as the purchaser in the Accepted Order. A consumer has the additional rights that applicable consumer law provides.

Deliverable means a written output listed in the Accepted Order, such as a configuration, integration, workflow, dashboard, data structure, document, test result, deployment, or support item.

Effective Cancellation means the date and time HIRECAR receives a clear Cancellation Request, subject only to reasonable identity or account verification that does not obstruct or delay a lawful cancellation.

Implementation Services means the setup, configuration, integration, testing, migration, documentation, deployment, or support work listed in an Accepted Order.

IoT System means a connected device, sensor, gateway, application, data service, or related software environment used in an automotive or fleet workflow.

Material Nonconformity means a reproducible failure of a Deliverable to satisfy a specific requirement written in the Accepted Order, excluding a preference, outside-system limitation, unauthorized change, or issue caused by missing Customer access or information.

Membership means the time-limited right to receive the access, services, and benefits specifically listed in an Accepted Order.

Milestone means a defined stage of work, acceptance event, or allocation of the Order price stated in the Accepted Order.

Refundable Unused Amount means the amount paid for the unperformed portion of an Order after subtracting only earned amounts and authorized, disclosed, nonrecoverable Third Party Costs.

Third Party Cost means a disclosed amount HIRECAR pays or becomes obligated to pay to an outside software, equipment, data, connectivity, implementation, shipping, or governmental source for the Customer's Accepted Order.

Written Notice means a notice delivered through the portal, email, mail, or another durable electronic method stated in the Accepted Order. A retainable electronic record qualifies when applicable law permits it.

4 Accurate descriptions and no implied promises

HIRECAR will describe material transaction facts clearly and consistently. The website, checkout, Accepted Order, invoice, and required notices must not materially misstate or conceal the provider, service identity, affiliation, approval, characteristics, uses, benefits, quantity, quality, price, delivery timing, renewal status, cancellation method, or available remedy.

HIRECAR does not guarantee a business outcome, cost reduction, compatibility with every outside system, uninterrupted availability, or a result controlled by another party unless the Accepted Order states a specific written warranty. Forecasts, illustrations, examples, and demonstrations are not guarantees. These controls are intended to avoid the misleading representations addressed by California Business and Professions Code sections 17200 and 17500 and Civil Code section 1770.

5 Activation delivery and evidence of performance

HIRECAR may wait to activate work until payment is confirmed, required information and access are received, the Customer's authority is reasonably verified, and the applicable terms are accepted. The Accepted Order should state the expected start or delivery time. If no time is conspicuously stated, HIRECAR will follow any default delivery rule that applies under California Business and Professions Code section 17538.

The service record may include onboarding records, access logs, configuration histories, time records, milestone approvals, delivery confirmations, testing records, support communications, and authorized outside costs. HIRECAR may use these records to show when Activation occurred, what was delivered, what value was earned, and what remains unused.

6 Core refund outcomes

The following rules apply unless the Accepted Order gives the Customer a more favorable right or nonwaivable law requires another result.

Event

What HIRECAR does

Refund result

Cancellation before Activation

Stops work and cancels any outside commitment that can still be canceled.

Returns the amount paid, less only an authorized and disclosed Third Party Cost that is already nonrecoverable.

Cancellation after Activation

Stops future work after securing systems and data, then prepares an itemized reconciliation.

Returns the Refundable Unused Amount, if any; completed work and authorized nonrecoverable outside costs remain earned.

Confirmed Material Nonconformity

Receives a reasonable opportunity to correct, reconfigure, replace, or redeliver the affected item.

If timely cure is not reasonably possible, returns the amount allocated to the affected item or provides a substitute the Customer expressly accepts.

HIRECAR cannot deliver

Offers a documented new delivery date or a substantially similar substitute where lawful.

If the Customer does not accept, returns the amount allocated to the unavailable or undelivered portion.

Valid nonrenewal

Stops the next renewal while access ordinarily continues through the paid term.

No later renewal amount is due; an amount processed after Effective Cancellation is returned.

7 Cancellation before Activation

The Customer may cancel before Activation by Written Notice. HIRECAR will stop unstarted work and attempt to cancel any outside commitment. The Customer receives the amount paid for unactivated services, less only a Third Party Cost that was clearly disclosed, authorized, actually incurred or committed, and not reasonably recoverable. HIRECAR will provide supporting detail on request.

If another California law gives the Customer a specific cancellation period for the transaction, that law controls. Nothing in this Policy shortens such a period.

8 Cancellation after Activation and calculation

After Activation, cancellation stops future work but does not erase work already performed or an authorized outside commitment. HIRECAR will provide an itemized reconciliation listing the amount paid, completed Milestones, delivered items, work in progress, Third Party Costs, adjustments, and the Refundable Unused Amount.

Refundable Unused Amount equals the amount paid minus the written price of completed Milestones or Deliverables, minus the reasonable value of documented work performed when the Accepted Order does not allocate that work, minus authorized and disclosed nonrecoverable Third Party Costs, plus any recoveries or adjustments returned to HIRECAR for the Customer's Order.

HIRECAR will use the Accepted Order's written allocations first. An amount will not be reduced by an undisclosed penalty, a duplicated charge, speculative future work, or a cost that HIRECAR avoided or recovered. The refund cannot exceed the amount the Customer actually paid for the affected item.

9 Material Nonconformity and cure

A Customer who believes a Deliverable has a Material Nonconformity should promptly identify the Deliverable, the written requirement, the observed issue, and available screenshots, logs, or examples. Prompt notice helps preserve evidence but does not waive a longer period provided by an Accepted Order or nonwaivable law.

HIRECAR may request reasonable access and information needed to reproduce the issue. HIRECAR then receives a reasonable opportunity to correct, reconfigure, replace, or redeliver the affected item. If HIRECAR confirms the Material Nonconformity and cannot provide a conforming result within a reasonable time, HIRECAR will return the amount allocated to that item or provide a documented substitute only with the Customer's express agreement.

10 Delay unavailability and substitution

If HIRECAR cannot provide an ordered item within the promised time, it will send Written Notice describing the specific expected delay or any proposed substitute and the Customer's available refund option, as required by California Business and Professions Code section 17538 when applicable. A substitute will not be imposed. It must be substantially similar, fit the ordered purpose, and accepted when acceptance is legally required.

If the Customer rejects a proposed substitute or HIRECAR cannot provide the paid service, HIRECAR will return the amount allocated to the undelivered portion. A delay caused by missing Customer access, information, approval, or cooperation extends the affected schedule for the reasonable period of the delay but does not authorize a new charge without agreement.

11 Automatic Renewal controls

Automatic Renewal applies only if the Customer expressly and affirmatively accepts clear terms before purchase. The disclosure and retainable acknowledgment will state that renewal occurs unless canceled, the renewal term, the amount or method of determining the amount and frequency, the cancellation policy and methods, and HIRECAR's contact information. HIRECAR will keep verification of consent for the period required by California Business and Professions Code section 17602.

An online enrollment may be canceled online at will through a prominently located direct link or button or an immediately accessible cancellation email, without extra steps that obstruct or delay cancellation. Cancellation will also remain available through the same medium used to activate the renewal or the medium the Customer ordinarily uses with HIRECAR. Reasonable authentication may be required, but an alternative method will be available if online authentication cannot be completed.

HIRECAR will provide the reminders and notices that section 17602 requires, including applicable advance notices for longer trials or promotional periods, terms of one year or longer, annual agreements, material changes, and fee changes. A required fee-change notice will be sent no fewer than seven and no more than thirty days before the change takes effect. A cancellation takes effect when received; an internal processing delay does not extend the Customer's obligation.

A nonrenewal stops the next term but ordinarily does not reverse the current paid term. If HIRECAR processes a renewal after Effective Cancellation or without the required consent, the processed renewal amount will be returned. Any Order request for advance notice is an administrative preference only and will not defeat a cancellation right that applicable law permits the Customer to exercise later.

12 Third Party Costs and equipment

A material Third Party Cost must be identified before the Customer authorizes it when reasonably practicable. The disclosure should state the item, amount or calculation method, whether it can be canceled or returned, and any material outside restriction. The amount is refundable to the extent HIRECAR avoids or recovers it. HIRECAR will not treat an undisclosed outside restriction as binding on the Customer.

If HIRECAR sells physical equipment to the public, the Accepted Order or point of sale will clearly display the applicable return period, eligible items, condition and packaging requirements, exchange options, shipping responsibility, and any lawful restocking amount. This disclosure is intended to satisfy California Civil Code section 1723 where it applies. Defective goods remain subject to any nonwaivable warranty or remedy.

13 How to cancel or request a refund

The Customer may send a Cancellation Request, nonrenewal, refund request, or request for itemized reconciliation through the HIRECAR customer portal, by email to help@hirecar.la, by mail to HIRECAR, LLC, 427 West 5th St #1517, Los Angeles, CA 90013, or through another cancellation method stated in the Accepted Order or renewal notice.

A request should include the following information when available. Missing optional detail will not invalidate an otherwise clear cancellation.

the Customer's full name and organization name if applicable;

the Order, invoice, Membership, or account reference;

the item, service, or renewal being canceled or questioned;

the purchase date and amount paid; and

for a service issue, the written requirement and available evidence of the issue.

A Cancellation Request is effective upon receipt through an accepted channel, subject only to reasonable verification. HIRECAR will not require a new purchase, a retention call, a written essay, or information unrelated to identifying the Customer and affected transaction before processing a valid cancellation.

14 Review decisions and refund timing

HIRECAR will normally acknowledge a request within three Business Days and provide a decision, reconciliation, or request for necessary supporting information within ten Business Days. If a technical review reasonably requires more time, HIRECAR will send a Written Notice explaining the status, the information still needed, and the expected decision date.

HIRECAR will submit an approved refund through the original transaction channel within five Business Days after the amount is determined and sufficient information is available. In all events, HIRECAR will meet any shorter or maximum deadline required by law. California Business and Professions Code section 17538 generally requires an applicable vendor to process and send a due refund within thirty days after service cancellation and receipt of sufficient information to make the refund. Processing time after submission may depend on the receiving system.

Taxes will be adjusted in proportion to the returned amount when required. For a discounted or bundled Order, the calculation uses the amount actually paid and the written allocation, not an inflated standalone price. HIRECAR will send a retainable record of the decision and calculation.

15 Transaction questions and duplicate recovery

A Customer may request an itemized reconciliation of payments, activated services, completed work, Third Party Costs, and any remaining balance. HIRECAR may pause future work while reviewing a disputed transaction if the pause is reasonably necessary to prevent added cost, security risk, or duplicate recovery.

The same loss may not be recovered twice. If the Customer receives an amount through another lawful dispute process after HIRECAR has issued a refund for the same item, the parties will reconcile the duplicate. Nothing in this Policy requires the Customer to waive a nonwaivable dispute right or government remedy.

16 Suspension termination and events outside control

HIRECAR may suspend or terminate an Order for material breach, nonpayment, fraud, abusive conduct, unauthorized or unlawful system use, security risk, repeated failure to provide required access or information, outside-system denial, impossible performance, or another risk HIRECAR cannot reasonably manage. HIRECAR will document the basis and prepare a final reconciliation. Completed work and authorized costs remain earned; any Refundable Unused Amount will be returned unless the Accepted Order or law requires another result.

Events outside HIRECAR's reasonable control may extend a deadline for the period reasonably affected. HIRECAR will use commercially reasonable efforts to resume or reroute performance and will provide a status notice when the impact is material. If performance ultimately becomes unavailable and the Customer does not accept a substitute, Section 10 controls the unused amount.

17 Electronic notices records and signatures

The parties may conduct the transaction electronically by agreement. Electronic signatures, typed signatures, click acceptance, portal acknowledgments, and electronic records have the effect allowed by California Civil Code section 1633.7. A required writing may be delivered electronically only when legally permitted and in a form the recipient can retain. HIRECAR will not inhibit the Customer's ability to print or store a record that must be retainable, consistent with Civil Code section 1633.8.

The Customer should keep current the email address, mailing address, telephone number, and portal access used for HIRECAR communications. HIRECAR may retain Accepted Orders, consent records, notices, access records, service logs, delivery records, support records, transaction records, Cancellation Requests, and refund records for service delivery, security, audit, dispute response, and legal recordkeeping.

18 Policy changes order of control and severability

If documents conflict, the following order controls: nonwaivable law; an Accepted Order term that expressly governs the specific transaction; a signed statement of work or addendum; this Policy; and then general website terms. A more favorable Customer remedy in an Accepted Order controls for that Order.

HIRECAR may update this Policy for future transactions. The effective date and document number identify the applicable version. HIRECAR will provide any notice and cancellation instructions required before applying a material change to an active Automatic Renewal. If a provision is unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions will continue to operate, except where that result would defeat a nonwaivable right or the essential purpose of the transaction.

19 California law and nonwaivable rights

California law governs this Policy, without applying a rule that would remove a nonwaivable protection available to the Customer. Nothing in this Policy excuses fraud, willful injury, or violation of law, consistent with California Civil Code section 1668. Nothing limits a disclosure, cancellation right, refund right, warranty, remedy, notice, government complaint, or other protection that applicable law does not permit the parties to waive.

The statutory references in Section 21 explain the principal California provisions reflected in this Policy. They do not state that every cited statute applies to every Customer or transaction, do not replace the full statutory text, and do not reduce any other applicable right.

20 Dispute resolution and venue

Before filing a court action, the parties will make a good-faith effort to resolve the dispute through mediation in Los Angeles County, California. The mediation may occur remotely if the parties and mediator agree. Each party will participate through a person with authority to resolve the dispute, and mediator fees will be shared equally unless the parties agree otherwise or law requires another allocation.

Mediation is not required before either party uses small claims court, seeks emergency or provisional relief, responds to legal process, makes or answers a good-faith transaction dispute, contacts a government agency, or exercises a right that cannot reasonably wait. If mediation does not resolve the dispute, either party may file in a court with jurisdiction in Los Angeles County unless applicable law requires another venue or process. Arbitration is not required unless HIRECAR and the Customer later agree to it in a clear, separate written record.
